Raising Medium- and Long-Term Corporate Value 
through Synergies Created by M&A

As one of the crucial management tasks in its sixth medium-term management plan, Zeria actively pursued M&A and alliances that will strengthen both its Ethical Pharmaceuticals and Consumer Healthcare businesses.

Regarding M&A in particular, with an eye toward undertaking M&A that contributes to sales and profits and creates synergies, in October 2008 Zeria acquired IONA INTERNATIONAL CORPORATION, which is renowned for the IONA® brand of basic skin care products, and established this company as a subsidiary. In September 2009, Zeria acquired Tillotts Pharma AG, the developer of the ulcerative colitis remedy Asacol® Tablets 400mg, and this company became a subsidiary as well. Subsequently, in September 2010, Zeria acquired a share in Denmark-based ZPD A/S (formerly Biofac Esbjerg A/S), which manufactures chondroitin in bulk form, and made this company a subsidiary.

Zeria is confident these three acquisitions will create a host of synergies in our two main Ethical Pharmaceuticals and Consumer Healthcare businesses and make major contributions to further enhancing the Zeria Group’s medium- and long-term business performance.

We will strive to uncover new opportunities that can strengthen the foundations of the Zeria Group and enhance our corporate value.


Full-Fledged Overseas Business Development Realizing Our Aspiration to “Reach Out to the World”
The harsh environment surrounding the Japanese pharmaceutical market is persisting due to the implementation of measures to curb healthcare costs and intensifying market competition owing to sluggish personal consumption.

Up to 2009, Zeria business operations centered mainly on the Japanese market. Now using the foothold established by making Tillotts a subsidiary in 2009 and ZPD a subsidiary in 2010, we are striving for new development as a global company. Under the Zeria Group’s seventh three-year mid-term management plan, launched in the fiscal year ending March 2012, we will focus on “Building the Foundation as a Global Company” and will thus actively promote the development of overseas operations.

As part of these efforts, we established the International Business Division in April 2011 with the aim of strengthening operational management and expanding the business of overseas affiliates. Additionally, the International Business Division will commence full-scale business development and sales of Zeria’s products and merchandise in the fast-growing Asian region.

We are striving to realize our aspiration to “reach out to the world,” which is symbolized by the third letter “R” in the Z-E-R-I-A Five Corporate Spirits, our corporate philosophy.
